Terms of Service

Last updated: [date of publication]

These Terms of Service (the "Agreement") are between Hager Investments LLC, a [Massachusetts] limited liability company doing business as Trellis ("Trellis", "we", "us"), and the organization that signs up for or orders the Service (the "Customer", "you").

You accept this Agreement by creating a workspace, starting a trial, accepting an order form, or clicking to accept it. If you accept it for an organization, you confirm you have authority to bind that organization.

1. Definitions

  • Service means Trellis as provided online at app.trellisexecution.com, including its features, coaching rules, scoring methods, documentation and templates.
  • Workspace means one company plan in the Service, held by the Customer.
  • Customer Data has the meaning in Section 9.1.
  • Editor means a person in a workspace who makes updates to the plan. An editor is anyone who is an admin, sits on the leadership team, is the head of transformation, or owns an objective, initiative, milestone, metric or financial line. The Service works out who the editors are from these roles; nobody types the count.
  • Viewer means anyone else in a workspace. Viewers can see the plan and are free and unlimited on every plan.
  • Order means the plan the Customer selects in the Service or at checkout, or a signed order form.
  • Subscription Term means the monthly or annual period the Customer has paid for, and each renewal.
  • Documentation means the help and policy pages Trellis publishes for the Service, including the Security page, Privacy Policy, Data Processing Addendum, Subprocessors list and Acceptable Use Policy.

2. The Service

2.1 Access right. During the Subscription Term, and subject to this Agreement, Trellis grants the Customer a non-exclusive, non-transferable, non-sublicensable right for its authorized users to access and use the Service for the Customer's own internal business planning.

2.2 Changes. Trellis may improve and change the Service. It will not materially reduce the core functionality of a plan the Customer has paid for during the current Subscription Term.

2.3 Availability. Trellis aims to keep the Service available at all times but does not offer a service level agreement unless an Order says so. Trellis will tell admins promptly of any incident that affects the security of Customer Data.

3. Trials and sample workspaces

3.1 Free trial. A trial lasts 30 days, needs no payment card, and includes every feature, except that importing the Customer's own documents with AI may be unavailable during a trial.

3.2 Sample workspaces. The test drive creates a sample workspace with a fictional company and fictional people. It is for evaluation only.

3.3 When a trial ends without a paid plan, the workspace becomes read-only for changes to the plan. Recording readings, exporting data and subscribing remain available. Trellis keeps the workspace for 60 days after the trial ends, emails its admins at day 45, and then deletes it under Section 15.4.

3.4 Trials are provided as-is. Section 17.2 applies with full force to trials, and Trellis has no liability for trials beyond the amount in Section 18.3.

4. Accounts, editors and viewers

4.1 Accounts. Each user signs in with their own account. Users keep their sign-in details confidential, and the Customer is responsible for what happens under its users' accounts.

4.2 Admins. The Customer's admins manage the workspace: its members, their roles, its settings, exports and deletion. The Customer is responsible for who it makes an admin.

4.3 Editors and the allowance. Each plan includes a number of editors. If the workspace needs more, admins are told and can add editors at the published price. Trellis never removes or demotes an existing editor automatically, and never silently refuses to record a change because of the allowance.

4.4 Viewers are free. Viewers are unlimited and do not count toward the editor allowance.

4.5 People named in a plan. A plan may name people who are not yet users (for example, an owner named in an imported document). The Customer confirms it is entitled to record those names and to invite those people.

5. Fees and payment

5.1 Fees. The Customer pays the fees for the plan in its Order, as published on the pricing page on the date of the Order, for the Subscription Term, plus any extra editors and extra company plans.

5.2 Billing. Fees are billed in advance, monthly or annually, through Trellis's payment processor, Stripe. Trellis does not receive or store payment card numbers.

5.3 Changing plans. The Customer may move to a larger plan or add editors at any time; the change takes effect immediately and is charged pro rata for the rest of the Subscription Term. Moves to a smaller plan or fewer editors take effect at the next renewal.

5.4 Renewal and cancellation. Subscriptions renew automatically for the same period unless cancelled. The Customer may cancel at any time in the billing portal; cancellation takes effect at the end of the current Subscription Term.

5.5 No refunds. Fees are non-refundable, including when the Customer cancels during a Subscription Term, except as Sections 15.2 and 17.1 provide or the law requires.

5.6 Late payment. If a payment fails, Trellis will tell admins and allow 14 days to fix it. After that, the workspace becomes read-only for changes to the plan until payment is made.

5.7 Billing never blocks the record. Whatever the state of payment, the Customer can always record a reading, record a milestone, and export its data.

5.8 Taxes. Fees exclude taxes. The Customer pays applicable sales, use and similar taxes, which will be shown at checkout.

5.9 Programs. Founding Partner, partner and portfolio pricing apply only as set out in a written Order or program terms, which prevail over this Section 5 to the extent they differ.

6. Customer responsibilities

The Customer will use the Service in line with this Agreement, the Acceptable Use Policy and applicable law, and is responsible for the content its users put into the Service and for having the right to put it there.

7. AI features

7.1 What they do. The Service can (a) read documents a user chooses to import and propose plan rows from them, and (b) draft meeting summaries and owner updates from facts computed from the plan.

7.2 What is sent. Importing sends the full content of the chosen files to Trellis's AI provider, Anthropic, and only after a user confirms it. Drafting sends facts drawn from the plan, which can include titles, owner names, figures, risk and escalation descriptions and review notes. Meeting summaries are drafted automatically when a meeting record is locked.

7.3 Turning drafting off. The Customer's admins can turn AI drafting off for the workspace at any time. While it is off, no plan content is sent to the AI provider for summaries or drafts. Importing still asks for confirmation on every upload.

7.4 Provider terms and location. Anthropic processes this data in the United States, under its commercial terms, which state that it does not train its models on it and that it deletes it within 30 days, subject to its exceptions. Anthropic is listed on the Subprocessors page.

7.5 Drafts are drafts. AI output can be wrong. Nothing an AI produces enters the plan until a user accepts it, drafts are labelled as drafted, and the Customer is responsible for reviewing what it accepts.

7.6 Output belongs to the Customer under Section 9.2.

8. Acceptable use

The Customer will comply with, and ensure its users comply with, the Acceptable Use Policy, which forms part of this Agreement.

9. Customer Data

9.1 Customer owns its data. As between the parties, the Customer owns all data, text, documents and files that it or its users put into the Service, including imported strategy material ("Customer Data"). The Customer grants Trellis a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Service, and as the Customer directs, including sending it to the subprocessors listed on the Subprocessors page.

9.2 Generated output. Summaries, drafts and plan rows the Service generates from Customer Data at the Customer's request (for example, an imported plan or a drafted session summary) belong to the Customer as Customer Data. Trellis keeps its rights in the Service that produced them.

9.3 Usage data. [OPTIONAL — decide deliberately.] Trellis may collect and use technical and usage information about how the Service is used (for example feature usage, performance and error data) to operate and improve the Service, and may use aggregated, de-identified data that cannot reasonably identify the Customer, its users or its plan content. Trellis will not use Customer Data to train AI models and will not sell Customer Data.

9.4 Privacy and data processing. Trellis handles personal data in Customer Data under the Data Processing Addendum, which forms part of this Agreement, and handles account and website data under its Privacy Policy.

9.5 Security. Trellis protects Customer Data with the measures described on its Security page and in the Data Processing Addendum.

10. Ownership of the Service

10.1 Reservation of rights. Trellis and its licensors own the Service and all software, designs, text, coaching rules, scoring methods, documentation, templates and other materials Trellis provides through it, including every improvement and derivative work, whoever suggested it. The Customer receives only the rights this Agreement expressly grants. All other rights are reserved.

10.2 Marks. "Trellis" and Trellis's logos are its trademarks. Nothing in this Agreement grants a right to use them, except to identify the Service accurately inside the Customer's own organization.

10.3 Restrictions. The Customer will not, and will not allow anyone else to:

(a) copy, modify, translate or create derivative works of the Service, except for the Customer's own content within it; (b) reverse engineer, decompile, disassemble or otherwise try to derive the source code, data model, prompts or underlying algorithms of the Service, except to the extent applicable law prohibits this restriction; (c) access or use the Service in order to build, benchmark for, or help anyone else build a competing product or service, or copy the Service's features, user interface, coaching rules or scoring methods; (d) sell, resell, rent, lease, sublicense or otherwise make the Service available to anyone other than its authorized users, or run it as a service bureau for third parties; (e) scrape or bulk-extract the Service by automated means, other than through the export features the Service provides; (f) remove or obscure any proprietary notice; or (g) probe, scan or test the Service for vulnerabilities without Trellis's prior written consent, or try to reach another customer's workspace.

11. Feedback

If the Customer or its users give Trellis suggestions, ideas, bug reports or other feedback about the Service ("Feedback"), Trellis may use it for any purpose, without restriction, attribution or payment. The Customer grants Trellis a perpetual, irrevocable, worldwide, royalty-free, transferable and sublicensable license to do so. Feedback does not include Customer Data, and Trellis will not identify the Customer as its source without consent.

12. Confidentiality

12.1 Definition. "Confidential Information" means non-public information one party (the discloser) gives the other (the recipient) that is marked confidential or that a reasonable person would understand to be confidential. For the Customer, this includes Customer Data. For Trellis, this includes non-public features, pricing, product plans, security documentation and the Service's non-public workings.

12.2 Exclusions. Confidential Information does not include information that (a) is or becomes public through no fault of the recipient; (b) the recipient already lawfully knew without a confidentiality duty; (c) the recipient lawfully receives from a third party without a confidentiality duty; or (d) the recipient develops independently without using the discloser's information.

12.3 Obligations. The recipient will use Confidential Information only to perform or exercise its rights under this Agreement, will protect it with at least reasonable care, and will share it only with its own and its affiliates' employees, contractors and advisers who need to know it and are bound by confidentiality duties at least as protective as these.

12.4 Compelled disclosure. The recipient may disclose Confidential Information when the law or a court requires it, if it gives the discloser prompt notice (where lawful) and reasonable help to seek protection.

12.5 Duration. These obligations last for the term and [three] years after it ends. For trade secrets and Customer Data, they last for as long as the information remains a trade secret, or the data is held.

13. Publicity and third-party components

13.1 Publicity. Neither party will use the other's name or logo in marketing without prior written consent, which either party may withdraw for future use.

13.2 Third-party components. The Service includes open-source and third-party components, each used under its own license. Nothing in this Agreement limits the Customer's rights under those licenses, to the extent they apply to the Customer.

14. Your data when things end: export

The Customer's admins can export the workspace at any time while it exists, including after a trial ends or a subscription lapses, through the export features the Service provides.

15. Term and termination

15.1 Term. This Agreement lasts while the Customer has a trial or a Subscription Term, and ends when the last of them ends.

15.2 Termination for breach. Either party may terminate this Agreement if the other materially breaches it and does not cure the breach within 30 days of written notice. If the Customer terminates for Trellis's breach, Trellis refunds prepaid fees for the unused part of the Subscription Term.

15.3 Suspension. Trellis may suspend access, with notice where practical, if it reasonably believes that use of the Service breaches the Acceptable Use Policy or threatens the security of the Service or another customer. Suspension never deletes Customer Data.

15.4 Deletion. After this Agreement ends, or earlier on the Customer's written request, Trellis will export the workspace for the Customer (the plan, its people and its audit trail), then delete the workspace and every stored file from the Service within [30] days, and confirm deletion in writing. Copies in backups are removed as the backups expire.

15.5 Survival. Sections 5 (for amounts owed), 9.1, 9.2, 10, 11, 12, 13, 15.4, 15.5, 17, 18, 19 and 20 survive termination.

16. Customer's warranties

The Customer warrants that it has the rights to the Customer Data it puts into the Service, and that its use of the Service complies with applicable law.

17. Trellis's warranties and disclaimer

17.1 Trellis warrants that during a paid Subscription Term the Service will perform materially as described in the Documentation. The Customer's remedy for breach of this warranty is for Trellis to correct the problem or, if it cannot within a reasonable time, to terminate the affected subscription and refund prepaid fees for the unused part of it.

17.2 Disclaimer. Except as stated in Section 17.1, the Service is provided "as is" and "as available". Trellis disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows. Trellis does not warrant that AI output is accurate.

18. Limitation of liability

18.1 Excluded losses. Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or goodwill, even if advised they were possible.

18.2 Cap. Each party's total liability under this Agreement is limited to the fees the Customer paid in the [12] months before the event giving rise to the claim.

18.3 Trials. For trials and sample workspaces, Trellis's total liability is limited to [US $100].

18.4 Exceptions. Sections 18.1 and 18.2 do not limit [a party's indemnity obligations, a breach of Section 12, the Customer's payment obligations, or liability that cannot be limited by law].

19. Indemnities

[To be drafted by counsel: Trellis's indemnity for third-party claims that the Service infringes their intellectual property, with the usual carve-outs; the Customer's indemnity for claims arising from Customer Data or breach of the Acceptable Use Policy.]

20. General

20.1 Governing law and courts. This Agreement is governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws rules. The state and federal courts in [county], Massachusetts have exclusive jurisdiction.

20.2 Changes to these terms. Trellis may update this Agreement by giving admins at least 30 days' notice by email and in the Service. Changes take effect at the next renewal for paid subscriptions, unless the Customer agrees sooner or the change is required by law.

20.3 Notices. Notices to Trellis go to hello@trellisexecution.com [and the postal address in the Order]. Notices to the Customer go to the admins' email addresses.

20.4 Assignment. Neither party may assign this Agreement without the other's consent, except to a successor in a merger or sale of substantially all of its relevant business, on notice.

20.5 Force majeure. Neither party is liable for delay caused by events beyond its reasonable control, other than payment obligations.

20.6 Entire agreement and order of precedence. This Agreement, the Documentation it incorporates and any Order are the entire agreement. If they conflict, a signed Order prevails, then the Data Processing Addendum (for personal data), then this Agreement.

20.7 Independent parties; no waiver; severability. The parties are independent contractors. A failure to enforce a right is not a waiver. If a provision is unenforceable, the rest remains in effect.

20.8 Export controls and sanctions. The Customer will not use the Service in breach of US export control or sanctions laws.
